TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of the website, classes, memberships, class packages, events, merchandise, facilities, and other services offered by Numa Studios, LLC (“Numa,” “we,” “us,” or “our”).

By creating an account, purchasing or using Numa services, or otherwise agreeing to these Terms, you agree to be bound by them together with any additional terms shown at the time of purchase.

Accounts and Age Requirements

You must be at least 18 years old to independently create a Numa account or enter into purchases or agreements with Numa.

Individuals ages 16 and 17 may participate in eligible classes with required consent from a parent or legal guardian. Younger participants may be permitted for certain special events with appropriate parental consent.

You are responsible for providing accurate account information and keeping your login credentials secure.

Class Booking

Non-members may generally book classes up to 7 days in advance. Eligible members may generally book up to 3 weeks in advance.

Booking may remain available until approximately 5 minutes before class, subject to availability and Numa's booking system.

Numa may substitute instructors and modify, reschedule, or cancel classes when necessary.

If Numa cancels a class, affected clients will be notified and the applicable class credit or booking entitlement will be restored or appropriately credited.

Arrival and Studio Policies

Clients are encouraged to arrive approximately 10 minutes before class.

Entry may not be permitted more than 5 minutes after class begins.

Grip socks are required in the studio room. Shoes are not permitted in designated studio areas. Mats are provided.

Phones should be silenced and should remain unused during class except where Numa permits otherwise.

Food and glass containers are not permitted in studio class areas.

Clients must behave respectfully toward instructors, staff, and other guests and follow reasonable safety instructions.

Numa may refuse service, restrict participation, suspend an account, or remove someone from the studio for unsafe, abusive, disruptive, fraudulent, or inappropriate conduct.

Class Cancellations and No-Shows

Classes canceled more than 12 hours before the scheduled start time may be canceled without penalty.

A cancellation made 12 hours or less before class begins is subject to a $12 late-cancellation fee.

Failure to attend a booked class without timely cancellation is subject to a $20 no-show fee.

Numa may waive a fee in exceptional circumstances at its discretion.

Waitlists

Clients may join waitlists for full classes.

If space becomes available, clients may automatically be moved into the class until approximately 2 hours before class begins.

Notifications may be sent by text, email, app notification, or another available method.

Once added to the class, the reservation is subject to Numa's normal cancellation and no-show policies.

Drop-Ins and Class Packages

The standard drop-in rate is currently $27, unless another price is displayed at purchase.

Class packages may vary in price and number of classes. Unless otherwise stated at purchase:

  • Packages expire 90 days from the purchase date

  • Packages are non-refundable

  • Package credits are non-transferable and may not be shared

  • Unused credits expire at the end of the applicable expiration period

Numa may change prices or offerings prospectively.

Memberships

Numa may offer recurring memberships with different prices, class allowances, and benefits.

Unless different terms are displayed and accepted at purchase:

  • Memberships have a 3-month minimum commitment

  • Memberships are billed monthly

  • Billing begins on the applicable purchase or activation date

  • Memberships automatically renew after the initial commitment until canceled

  • Unused monthly credits do not roll over

  • Membership credits are non-transferable

Membership benefits may include guest passes, member-only events, partner discounts, merchandise discounts, private-session benefits, or other perks depending on the membership.

The specific price and material membership terms displayed at purchase control that membership.

Recurring Billing

By purchasing a recurring membership, you authorize Numa and its payment providers to charge your selected payment method at the billing frequency and amount disclosed during enrollment.

Membership price, billing frequency, minimum commitment, automatic-renewal terms, and material cancellation terms will be presented before purchase.

If a payment fails, Numa may contact you and retry the payment once. Booking privileges or membership benefits may be suspended while an amount remains unpaid.

Numa does not currently charge a separate failed-payment fee.

Membership Cancellation

Memberships may be canceled by contacting Numa by email, phone, or in person.

Cancellation does not eliminate an agreed minimum commitment.

If you cancel during a 3-month or other minimum commitment period, you remain responsible for the remaining required membership payments unless Numa agrees otherwise or applicable law requires otherwise.

After the commitment has been completed, cancellation stops future renewals.

Membership access generally continues through the end of the applicable paid billing period. Unused membership credits expire once the membership ends.

Membership payments are not prorated or refunded because of cancellation.

Membership Freezes

Eligible memberships may be frozen with Numa approval.

Unless otherwise approved:

  • Minimum freeze period is one month

  • Freeze fee is $25 per month

  • Regular membership billing is paused during the freeze

  • Membership benefits may be suspended while frozen

  • Frozen months do not count toward completion of a minimum commitment

Therefore, freezing a membership extends any remaining commitment by the length of the freeze.

Medical, pregnancy-related, or other exceptional situations may be handled differently at Numa's discretion.

Founding Memberships

Founding memberships may be offered only during Numa's designated pre-opening enrollment period.

Specific pricing, benefits, commitment requirements, and billing dates will be displayed at purchase.

Eligible founding pricing remains in effect while the founding membership remains continuously active and in good standing.

Cancellation permanently forfeits founding pricing. A canceled founding membership cannot later be restarted at the original founding rate.

Founding memberships are non-transferable and may not ordinarily be frozen unless Numa expressly approves an exception.

Promotions and Intro Offers

Introductory offers may include promotional pricing for first-time clients.

Unless otherwise stated:

  • Intro offers are for new Numa clients only

  • Limited to one introductory offer per person

  • Non-transferable

  • Cannot be combined with other promotions

Numa may modify or discontinue promotions prospectively.

Refunds

Except where required by law or expressly stated otherwise:

  • Memberships are non-refundable

  • Class packages are non-refundable

  • Drop-ins are non-refundable

  • Intro offers are non-refundable

  • Events and workshops are non-refundable

  • Gift cards are non-refundable

Numa may provide a refund, account credit, extension, or other accommodation in exceptional circumstances at its discretion.

Merchandise returns and exchanges are subject to the policy communicated at purchase.

Gift Cards and Account Credits

Numa gift cards do not expire unless otherwise permitted or required by law.

Gift cards may be given to another person before redemption. Once redeemed to an individual account, the resulting balance or account credit is generally non-transferable.

Gift cards are not redeemable for cash except where required by law.

Numa may issue promotional or customer-service account credits at its discretion. Account credits are generally non-transferable, have no cash value, and may be subject to expiration or usage terms disclosed when issued.

Health and Participation

Pilates and other fitness activities involve physical exertion and inherent risks.

Participation may require acceptance of a separate Numa liability waiver and assumption-of-risk agreement.

Clients are responsible for notifying instructors of relevant injuries, physical limitations, pregnancy, or other circumstances that may affect safe participation.

Numa instructors may provide exercise modifications and general fitness guidance, but such guidance is not medical advice, diagnosis, physical therapy, or medical treatment.

Clients should stop participating and notify an instructor if they experience concerning pain, dizziness, breathing difficulty, or other significant symptoms.

Photography and Recording

Clients may record themselves only in locations or situations permitted by Numa.

Numa may designate filming areas. Clients may not intentionally photograph or record another client, instructor, employee, or guest without that individual's permission.

Numa may photograph or record classes, events, and studio activities. Separate permission will be obtained where appropriate before using an identifiable individual's image or likeness for promotional or advertising purposes.

Private Sessions and Events

Private sessions, private group classes, corporate wellness programs, workshops, and special events may have separate booking, deposit, cancellation, or refund terms.

Any specific terms presented for those services control if they conflict with these general Terms.

Website and Intellectual Property

Numa website content, including text, photography, video, graphics, designs, logos, branding, and other original materials, is owned by or licensed to Numa Studios, LLC unless otherwise indicated.

Numa content may not be copied, sold, reproduced, distributed, or commercially used without permission except where permitted by law.

Users may not misuse the website, attempt unauthorized access, engage in fraud, abuse promotions, introduce malicious software, impersonate others, or interfere with the operation or security of Numa's website or services.

Third-Party Services

Numa uses third-party services including Squarespace, Mariana Tek/Xplor Technologies, Stripe, and other technology providers.

Third-party websites and platforms may be subject to their own terms and privacy policies.

SMS/Text Messaging Terms

Program Description

By opting in to Numa's SMS program, you agree to receive recurring automated text messages from Numa Studios, LLCat the mobile number you provided.

Messages may include class and appointment reminders, booking confirmations and updates, waitlist notifications, schedule changes, account alerts, membership updates, promotional offers, studio updates, event information, and customer-support follow-ups.

Consent to receive promotional text messages is not a condition of any purchase.

Message Frequency

Message frequency varies depending on your bookings, account activity, communication preferences, and interactions with Numa.

Message and Data Rates

Message and data rates may apply. Charges are billed by and payable to your mobile service provider. Please contact your wireless carrier for information about your messaging or data plan.

How to Opt Out and Get Help

You may unsubscribe from the SMS service at any time by replying STOP to any message sent by Numa.

After you send STOP, you may receive a one-time confirmation message, after which no further SMS messages covered by that opt-out will be sent.

If you wish to rejoin, you may sign up again using the applicable opt-in method or, where supported, reply START.

Carrier Liability Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

Liability

To the fullest extent permitted by law, Numa is not responsible for indirect, incidental, special, or consequential damages arising from use of its website or digital services.

Physical participation in Numa classes and activities is separately governed by the applicable participant liability waiver.

Nothing in these Terms limits rights or liabilities that cannot legally be limited.

Governing Law

These Terms are governed by the laws of the State of Ohio.

Any dispute subject to court proceedings will be brought in a court of competent jurisdiction serving Cuyahoga County, Ohio, or the applicable federal court having jurisdiction.

Numa does not require mandatory arbitration under these Terms.

Changes to These Terms

Numa may update these Terms prospectively as its services, policies, or legal obligations change.

The Effective Date above will reflect the most recent update.

Material changes affecting existing recurring memberships will be handled in accordance with applicable law and the applicable membership agreement.
